Formation and checkout notice

Fog & Iron Labs LLC’s California formation filing is pending state review. This corporate storefront is not accepting payment while formation and final billing validation remain incomplete.

1. Agreement to these Terms

These Terms of Service (“Terms”) govern your access to and use of this website, StandPost, and any other Fog & Iron website, software product, application, or digital service that links to these Terms (collectively, the “Services”). Fog & Iron Labs LLC has submitted its California formation filing and is pending state review. These Terms will be updated as needed when formation is approved and before paid access opens on this corporate storefront. By accessing or using a Service or creating an account, you agree to these Terms and the policies incorporated by reference. If you do not agree, do not use the Services.

2. Eligibility and authority

You must be at least 18 years old and legally able to enter a contract. If you use a Service for an organization, you represent that you have authority to bind that organization, and “you” includes the organization. The Services are not directed to children.

3. Accounts and security

You must provide accurate information, maintain the confidentiality of your credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account unless caused by our breach of these Terms. Do not share accounts beyond the licensed users or attempt to bypass account or usage limits.

4. Orders, fees, and taxes

Prices, included usage, billing frequency, and renewal terms are shown before purchase. Charges are processed by Stripe or another identified payment provider. You authorize the processor to charge the selected payment method for one-time fees and, if you choose a subscription, recurring fees and applicable taxes. Subscription terms, cancellation methods, and refund rules are in our Subscription & Cancellation Policy, which is part of these Terms.

5. License and permitted use

Subject to payment and compliance with these Terms, we grant you a limited, nonexclusive, nontransferable, revocable right to access and use the Services for your internal personal or business purposes during the applicable access period. We retain all rights not expressly granted. You may not resell, sublicense, copy, modify, reverse engineer, scrape, frame, or use the Services to build a competing product except where applicable law expressly permits and cannot be waived.

6. Your content

You retain ownership of documents, text, data, and other material you submit (“User Content”). You grant us and our service providers a limited license to host, process, transmit, reproduce, and display User Content only as needed to operate, secure, support, and improve the Services, comply with law, and enforce these Terms. You represent that you have the rights and permissions needed to submit User Content. Do not submit confidential, regulated, or highly sensitive information unless the relevant Service expressly supports it and your organization has approved the use.

7. AI-assisted features

Some Services use artificial intelligence to organize, analyze, summarize, or draft content. AI output may be incomplete, inaccurate, outdated, or unsuitable for your circumstances. You are responsible for reviewing source material, verifying facts, obtaining necessary professional advice, and approving final decisions and deliverables. The Services do not provide legal, tax, medical, employment, compliance, or other professional advice and do not guarantee an outcome, award, job, compliance result, or error-free submission.

8. Acceptable use

You must comply with our Acceptable Use Policy. Among other things, you may not use a Service to violate law or third-party rights, distribute malware, gain unauthorized access, create deceptive or harmful content, or interfere with the Service.

9. Our intellectual property

The Services, including software, interfaces, designs, workflows, text, graphics, trademarks, and other materials we provide, are owned by Fog & Iron or its licensors and are protected by law. “Fog & Iron Labs,” product names, logos, and related marks may not be used without written permission. If you provide feedback, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or compensation.

10. Third-party services

The Services may link to or depend on third-party services, including payment, hosting, authentication, analytics, and AI providers. Their separate terms and privacy practices may apply. We are not responsible for third-party services we do not control, but we remain responsible for our own obligations under applicable law.

11. Beta and pre-release services

A Service labeled beta, preview, pilot, early access, or in development may change, contain more errors, have limited support, or be discontinued. Do not rely on a pre-release Service for mission-critical activity without an independent backup process.

12. Suspension and termination

You may stop using the Services at any time and may cancel subscriptions as described in the Subscription & Cancellation Policy. We may suspend or terminate access when reasonably necessary to address nonpayment, security risk, unlawful conduct, material breach, harm to others, or discontinuation of a Service. When practicable, we will provide notice and an opportunity to cure. Sections that by their nature should survive termination—including ownership, payment obligations, disclaimers, liability limits, and dispute provisions—will survive.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT A SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR THAT OUTPUTS WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSE. These disclaimers do not limit rights that cannot legally be waived.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOG & IRON AND ITS MEMBERS, PERSONNEL, AFFILIATES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY. OUR TOTAL LIABILITY ARISING OUT OF THE SERVICES WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO FOG & IRON FOR THE AFFECTED SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. This section does not limit liability where limitation is prohibited by law.

15. Indemnification

To the extent permitted by law, you will defend and indemnify Fog & Iron from third-party claims, losses, and reasonable costs arising from your User Content, unlawful use, infringement of third-party rights, or material breach of these Terms. This obligation does not apply to the extent a claim results from Fog & Iron’s own misconduct.

16. Governing law and disputes

California law governs these Terms, without regard to conflict-of-law rules. Before filing a claim, each party agrees to send written notice and attempt in good faith to resolve the dispute for 30 days. Any court proceeding must be brought in a California state or federal court with proper jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction. Nothing here limits rights you may have under mandatory consumer law.

17. Changes

We may update these Terms. We will post the revised date and provide additional notice when required. Material changes apply prospectively. If you continue using the Services after revised Terms take effect, you accept the revised Terms.

18. General

These Terms and incorporated policies are the entire agreement regarding the Services unless a signed agreement states otherwise. If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest remains effective. A delay in enforcement is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, financing, reorganization, or sale of assets.
